Acceptance of Terms
By accessing, browsing, or using the CodivUpload platform (the "Service"), developed and operated by Codivion LLC ("Codivion," "Company," "we," "us," or "our"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), together with our Privacy Policy, which is incorporated herein by reference.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.
If you do not agree to all of these Terms, you must not access or use the Service.
Eligibility
You must be at least 18 years of age (or the age of majority in your jurisdiction) to create an account and use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements. If you are under 18, you may not use the Service under any circumstances.
Description of Service
CodivUpload is a cloud-based social media management SaaS platform that enables users to:
- Schedule, publish, and manage content across multiple social media platforms from a unified dashboard.
- Connect and authorize social media accounts via official OAuth integrations.
- Upload and manage media assets (images, videos) for cross-platform distribution.
- View analytics, manage posting queues, and automate publishing workflows.
- Access the Service programmatically via API for authorized automation use cases.
We reserve the right to modify, update, suspend, or discontinue any feature, functionality, or integration of the Service at any time, with or without notice. We shall not be liable to you or any third party for any such modifications, suspensions, or discontinuations.
Account Registration & Security
To access and use the Service, you must register for an account. When registering, you agree to:
- Provide accurate, current, and complete information during registration.
- Maintain and promptly update your account information to keep it accurate and current.
- Maintain the security and confidentiality of your login credentials and not share them with any third party.
- Immediately notify us at security@codivupload.com if you suspect any unauthorized access to or use of your account.
You are solely responsible for all activities that occur under your account, whether or not authorized by you. We are not liable for any loss or damage arising from unauthorized use of your account.
Subscription Plans, Payments & Billing
5.1 Plans & Pricing
The Service is offered under various subscription plans, which may include free tiers, paid tiers, and enterprise plans. Features, limits, and pricing for each plan are detailed on our pricing page and are subject to change. We will provide at least 30 days' notice before making changes to pricing that affect your current subscription.
5.2 Payment Processing (Stripe)
All payments are processed securely through Stripe, Inc. We do not store your full credit card number, CVV, or other sensitive payment details on our servers — these are handled entirely by Stripe in accordance with PCI DSS Level 1 compliance standards.
By subscribing to a paid plan, you authorize Codivion LLC to charge the applicable fees to your payment method via Stripe. Charges on your bank or credit card statement will appear as "CODIVION LLC" or "CODIVION". All invoices and receipts are issued by Codivion LLC (EIN: 61-2264270) and are available in your account dashboard. Your payment information is governed by Stripe's privacy and security policies.
5.3 Billing Cycle & Automatic Renewal
Paid subscriptions are billed in advance on a monthly or annual basis, depending on the plan you select. Subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings or by contacting support@codivupload.com. Cancellation takes effect at the end of the current billing period — you will retain access to paid features until then.
5.4 Plan Changes (Upgrades, Downgrades & Interval Switching)
You may upgrade or downgrade your plan at any time. Upgrades take effect immediately, and you will be charged a prorated amount for the remainder of your billing cycle. Downgrades are scheduled to take effect at the start of the next billing cycle — no partial refund is issued for the current period.
Billing interval changes: You may switch between monthly and annual billing at any time. Switching from monthly to annual takes effect immediately — a prorated credit for remaining days on your monthly plan is applied toward the annual price. Switching from annual to monthly is scheduled to take effect at the end of the current annual period — no partial refund is issued for the remaining annual term. When you switch intervals, any active add-ons are automatically converted to the matching billing interval.
Combined changes: If you upgrade your plan and change your billing interval at the same time (e.g. monthly Pro to annual Business), the upgrade takes effect immediately with proration. If you downgrade and change interval simultaneously (e.g. monthly Pro to annual Starter), the change is scheduled for the end of the current billing period.
Pending changes: Scheduled changes (downgrades and annual-to-monthly switches) can be canceled at any time before they take effect. Canceling a pending change restores your current plan with no additional charges. You can view and manage pending changes from the Subscription page in your dashboard.
Add-ons during plan changes: When upgrading or downgrading, you may choose to transfer your existing add-ons to the new plan (at the new plan's add-on pricing) or remove them. If the target plan does not support add-ons, they will be automatically removed — for upgrades, a prorated credit is applied; for downgrades, removal takes effect at the end of the billing period.
5.5 Refund & Cancellation Policy
We want you to be satisfied with CodivUpload. Our refund policy is as follows:
Monthly Subscriptions
You may request a full refund within 7 days of your initial purchase or renewal if you have not substantially used the Service during that period. After 7 days, no refund is issued, but you may cancel to prevent future charges.
Annual Subscriptions
You may request a full refund within 14 days of your initial purchase. After 14 days, no prorated refund is issued, but you may cancel and retain access until the end of the annual term.
Free Trial to Paid Conversion
If you are charged after a free trial ends and did not intend to subscribe, contact us within 7 days of the charge for a full refund.
Service Disruption
If the Service experiences a major outage lasting more than 72 consecutive hours due to causes within our control, you may request a prorated credit for the affected period.
To request a refund, email support@codivupload.com with your account email and the reason for the request. Refunds are processed back to the original payment method via Stripe within 5-10 business days.
5.6 Failed Payments & Account Suspension
If a payment fails, Stripe will automatically retry the charge up to 3 times over a 7-day period. During this grace period, your access to paid features remains active. If all retry attempts fail, your account will be downgraded to the free tier. We will notify you by email before and after any downgrade. You may reactivate your paid plan at any time by updating your payment method.
5.7 Chargebacks & Disputes
If you believe a charge is incorrect, please contact support@codivupload.com before initiating a chargeback with your bank. We will work to resolve any billing issues promptly. Filing a chargeback without first contacting us may result in immediate suspension of your account pending resolution of the dispute.
5.8 Taxes
All prices displayed are exclusive of applicable taxes unless otherwise stated. Stripe may calculate and collect sales tax, VAT, or GST based on your billing address as required by local law. You are responsible for any taxes applicable to your use of the Service.
5.9 Add-On Features
Certain features — such as additional brand profiles, extra team seats, or higher API rate limits — may be purchased as add-ons to your base subscription plan.
- Proration on addition: Add-ons added mid-cycle are charged immediately at a prorated rate for the remainder of the current billing period. Full add-on pricing applies from the next renewal date.
- Auto-renewal: Add-ons renew automatically on the same date as your base subscription. If you cancel your base plan, all active add-ons are also canceled and remain accessible until the end of the current period.
- Removal: Removing an add-on takes effect immediately. A prorated credit for the remaining days in the current billing cycle is automatically applied to your account balance and deducted from your next invoice.
User Content & Intellectual Property
6.1 Your Content
You retain full ownership of all content, media, text, and materials that you upload, post, or transmit through the Service ("User Content"). By using the Service, you grant Codivion LLC a limited, non-exclusive, royalty-free, worldwide license to use, store, process, and transmit your User Content solely for the purpose of providing and operating the Service (e.g., publishing scheduled posts to your connected social media accounts).
This license terminates when you delete your User Content from the Service or close your account, except where your content has already been shared with third-party platforms through your authorized scheduling actions.
6.2 Our Intellectual Property
The Service, including its original content (excluding User Content), features, functionality, software, design, trademarks, service marks, logos, and trade names are and will remain the exclusive property of Codivion LLC and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.
6.3 Feedback
If you provide suggestions, ideas, or feedback about the Service, you agree that we may use such feedback without any obligation or compensation to you.
Third-Party Platform Integrations
The Service integrates with various third-party social media platforms and services (collectively, "Third-Party Platforms"), including but not limited to:
7.1 Authorization & OAuth
When you connect a Third-Party Platform account, you authorize CodivUpload to access your account via official OAuth protocols to perform actions on your behalf, such as publishing content, reading profile information, and managing media. All OAuth tokens are encrypted at rest using AES-256-GCM authenticated encryption and are only used for the purposes you have authorized.
7.2 Compliance with Third-Party Terms
By connecting any Third-Party Platform, you agree to comply with that platform's own Terms of Service and policies. CodivUpload facilitates content publishing via official APIs — you are solely responsible for ensuring that your content complies with each platform's community guidelines, content policies, and terms of use. Specifically:
- You agree that posting identical content across multiple accounts on the same platform may violate that platform's terms and is your responsibility to manage.
- You agree not to use the Service to distribute spam, misleading content, or content that violates any applicable platform's policies.
- You acknowledge that Third-Party Platform APIs may change, become unavailable, or impose new restrictions at any time, which may affect the Service's functionality.
7.3 Revocation of Access
You may disconnect any Third-Party Platform and revoke CodivUpload's access at any time through your account dashboard. Upon revocation, we will promptly delete all associated OAuth tokens and access credentials from our systems.
YouTube & Google API Services
CodivUpload uses YouTube API Services to enable YouTube-related functionality. By using YouTube features within CodivUpload, you agree to be bound by the following:
8.1 Data Collected via YouTube API
When you connect your YouTube/Google account to CodivUpload, we request the following OAuth scopes and access the corresponding data:

All authorization tokens (access and refresh tokens) are encrypted at rest using AES-256-GCM authenticated encryption and are never stored in plaintext.
8.2 How We Use YouTube Data
We use data obtained through YouTube API Services strictly to:
- Upload and schedule videos to your YouTube channel as directed by you.
- Display your channel information within the CodivUpload dashboard for identification purposes.
- Display YouTube Analytics data (view counts, engagement metrics) within your dashboard so you can track content performance.
We do NOT use YouTube API data for advertising, user profiling, selling to third parties, or any purpose other than providing the core Service functionality you have authorized.
8.3 Google API Services User Data Policy
CodivUpload's use and transfer to any other app of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements.
- We only use Google user data to provide and improve user-facing features visible in CodivUpload's interface (video publishing and analytics display).
- We do not transfer Google user data to third parties unless necessary to provide the service, comply with applicable laws, or as part of a merger/acquisition with prior user consent.
- We do not use Google user data for serving advertisements or any advertising purpose.
- No human reads Google user data, except with explicit user consent, for security/abuse investigation, or to comply with legal obligations.
8.4 Revoking YouTube Access
You can revoke CodivUpload's access to your YouTube data at any time by:
- Disconnecting your YouTube account from within your CodivUpload dashboard.
- Removing CodivUpload's access directly from your Google Account permissions page.
Upon revocation, all YouTube-related OAuth tokens and associated data will be promptly deleted from our systems.
DMCA & Copyright
CodivUpload respects the intellectual property rights of others and expects users to do the same. In accordance with the Digital Millennium Copyright Act (DMCA), we will respond expeditiously to claims of copyright infringement committed using the Service.
9.1 Filing a DMCA Takedown Notice
If you believe that content available through the Service infringes your copyright, you may submit a written notification to our designated agent containing:
- A physical or electronic signature of the copyright owner or authorized representative.
- Identification of the copyrighted work(s) claimed to have been infringed.
- Identification of the material that is claimed to be infringing, with sufficient detail to locate it.
- Your contact information (name, address, telephone number, and email).
- A statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law.
- A statement, under penalty of perjury, that the information in the notification is accurate and that you are authorized to act on behalf of the copyright owner.
9.2 Counter-Notice
If you believe your content was removed by mistake or misidentification, you may submit a counter-notice to our designated agent with: (a) your physical or electronic signature, (b) identification of the removed material and its prior location, (c) a statement under penalty of perjury that you have a good faith belief the material was removed by mistake, and (d) your consent to the jurisdiction of the federal court in Wyoming and acceptance of service of process from the complainant.
9.3 Repeat Infringer Policy
We will terminate the accounts of users who are determined to be repeat infringers. We reserve the right to remove any content and terminate any account at our sole discretion, with or without notice.

Acceptable Use Policy
You agree to use the Service only for lawful purposes and in compliance with these Terms. You shall not:

Data Processing & Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal data.
11.1 Data We Collect
We collect and process data necessary to provide the Service, including account information, OAuth credentials from Third-Party Platforms, uploaded media, and usage analytics. Full details are provided in our Privacy Policy.
11.2 Data Security
We employ industry-standard security measures including AES-256-GCM authenticated encryption for sensitive credentials, HTTPS/TLS 1.3 for all data in transit, Row-Level Security (RLS) in our database architecture, and regular security audits.
11.3 Infrastructure & Sub-Processors
To provide the Service, we engage the following infrastructure providers as data sub-processors under Data Processing Agreements (DPAs):

These providers process data solely on our instructions and do not use your data for their own purposes. Codivion LLC remains the data controller and is responsible for the protection of your data. 11.4 International Data Transfers
If you are located outside the United States, your data may be transferred to, stored, and processed in the United States where our primary servers are hosted, or in other regions where our sub-processors operate edge infrastructure. By using the Service, you consent to such transfer and processing.
11.5 Data Retention & Deletion
We retain your data for as long as your account is active or as needed to provide the Service. When you delete your account, we will delete or anonymize your personal data within 30 days, except where we are required to retain certain data by law. You may request data deletion at any time by contacting privacy@codivupload.com.
Service Availability & Modifications
We strive to maintain high availability of the Service but do not guarantee uninterrupted, timely, secure, or error-free access. The Service may be temporarily unavailable due to:
- Scheduled or emergency maintenance.
- Third-Party Platform API outages, changes, or deprecations.
- Force majeure events (natural disasters, cyber attacks, government actions, etc.).
We reserve the right to modify, update, or enhance the Service at any time. Material changes that affect your use of the Service will be communicated via email or in-app notification.
Termination
13.1 Termination by You
You may terminate your account at any time by canceling your subscription and deleting your account through the dashboard settings, or by contacting support@codivupload.com. Upon termination, your right to use the Service ceases immediately.
13.2 Termination by Us
We may suspend or terminate your account and access to the Service immediately, without prior notice or liability, if:
- You breach any provision of these Terms.
- You engage in fraudulent, abusive, or illegal activity.
- Your account has been inactive for an extended period.
- We are required to do so by law or a Third-Party Platform's policies.
13.3 Effects of Termination
Upon termination, all licenses granted to you under these Terms will immediately cease. We will delete your account data in accordance with our data retention policies. Sections of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and governing law) will survive.
Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CODIVION LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
- WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
- WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT OR INFORMATION PROVIDED THROUGH THE SERVICE.
- WARRANTIES THAT THIRD-PARTY PLATFORM INTEGRATIONS WILL REMAIN AVAILABLE OR FUNCTION AS EXPECTED.
YOU USE THE SERVICE AT YOUR OWN RISK. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM CODIVION LLC OR THROUGH THE SERVICE CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CODIVION LLC, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:
- LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES.
- DAMAGES RESULTING FROM YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE SERVICE.
- DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS, CONTENT, OR DATA.
- DAMAGES RESULTING FROM THE CONDUCT OR CONTENT OF ANY THIRD PARTY ON OR THROUGH THE SERVICE.
- DAMAGES RESULTING FROM THE FAILURE OR UNAVAILABILITY OF ANY THIRD-PARTY PLATFORM INTEGRATION.
- DAMAGES RESULTING FROM CONTENT PUBLISHED THROUGH THE SERVICE ON YOUR CONNECTED SOCIAL MEDIA ACCOUNTS.
IN NO EVENT SHALL CODIVION LLC'S TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
Indemnification
You agree to indemnify, defend, and hold harmless Codivion LLC, its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from:
- Your use of the Service.
- Your violation of these Terms.
- Your User Content, including any content published through the Service to Third-Party Platforms.
- Your violation of any rights of a third party, including any Third-Party Platform's terms of service.
- Your violation of any applicable law, rule, or regulation.
Governing Law & Dispute Resolution
17.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles.
17.2 Dispute Resolution
Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue binding arbitration administered under the rules of the American Arbitration Association (AAA). The arbitration shall take place in the State of Wyoming.
17.3 Class Action Waiver
Changes to Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will:
- Update the "Last updated" date at the top of this page.
- Notify you via email and/or a prominent notice within the Service at least 30 days before the new terms take effect.
Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service and close your account.
Miscellaneous
19.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Codivion LLC regarding the use of the Service and supersede all prior agreements, understandings, and communications.
19.2 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.
19.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Codivion LLC.
19.4 Assignment
You may not assign or transfer these Terms, or any rights or obligations hereunder, without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
19.5 Force Majeure
Codivion LLC shall not be liable for any failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including but not limited to natural disasters, acts of government, internet or infrastructure failures, cyber attacks, pandemics, or Third-Party Platform outages.
